Metals X proposal for First Tin PLC · LSE: 1SN

15p is not enough.

Metals X has made an opportunistic, non-binding proposal of 15 pence per share for First Tin, just as its Taronga tin project nears development approval. The price does not cover the value of First Tin's Australian project or its German projects. Summer Moon Capital (SMC) will not support it unless it is substantially improved.

The value case

What First Tin is worth, in pence per share

Each bar is a value for part or all of First Tin. The bronze line is Metals X's 15p proposal for the whole company. Every measure of Taronga alone, and Germany alone, sits to the right of it.

Taronga values are post-tax NPV at an 8% discount rate from First Tin's updated Definitive Feasibility Study (August 17, 2026), converted at GBP:AUD 0.52 as in First Tin's September 2026 presentation. Germany, Zeus Taronga and Zeus fair value figures are from Zeus Capital research dated August 18, 2026. Project values are before corporate costs and financing. Per-share figures use 541.8 million shares in issue.

Why now

Timed ahead of Taronga's approval

Metals X has bid just before Taronga's development approval, and before the share price reflects it. Every permitting step First Tin lists for Taronga is complete except the approval itself.

  1. Environmental Impact Statement submitted to the NSW government.
  2. Public exhibition closes with only four objections.
  3. Response to submissions lodged with the NSW planning department.
  4. Updated feasibility study lifts Taronga's base-case post-tax NPV from A$98m to A$246m.
  5. The company tells local media it hopes to have development consent by October.
  6. Metals X makes its 15p proposal.

Australia · Taronga, New South Wales

Taronga alone is worth more than the whole offer

On First Tin's own conservative assumptions, the 15p proposal does not even cover the value of its Australian project.

Even Phase 1 alone, the mine exactly as it is being permitted, at a tin price far below today's, is worth more than Metals X is offering for the whole company.

None of these figures include copper and silver by-products (66.1kt Cu and 13.3Moz Ag in Inferred Resources), a fine tin circuit, or a mine life extended towards 20 years. First Tin estimates those could lift Taronga's spot-price NPV to A$653m.

Germany · Saxony

The offer leaves nothing for Germany

First Tin's German projects hold 61% of its contained tin. Metals X's price does not cover Taronga, so it ascribes them no value at all.

Tellerhäuser

  • 27.9Mt at 0.50% Sn for 138,600 t of contained tin, plus zinc, indium and an 18.71 t germanium resource.
  • Pre-Feasibility Study published. Mining licence runs to 2070.
  • Life-of-Mine Plan submitted in Q4 2025 through a fast-track route that needs no formal EIA. Awaiting planning approval, with production targeted about a year later.

Gottesberg

  • 37.0Mt at 0.25% Sn for 90,900 t of contained tin.
  • Exploration targets for copper, tungsten, silver and gallium by-products.

On Zeus's unrisked valuation, Tellerhäuser alone is worth more than the whole offer, and the German assets together are worth about 50% more. Even when Zeus counts only 40% of Tellerhäuser's value, Germany adds 11.9p per share on top of Taronga in its 33.8p fair value.

Our position

SMC will not support 15p

SMC opposes the proposal at the current price and does not intend to support or accept an offer at 15p per share. We call on First Tin's independent directors to reject it.

SMC is open to a transaction that properly recognizes First Tin's value. Any offer would need to be substantially improved to win our support, and SMC reserves the right to support an offer at a materially higher price.

Metals X has made this approach just before Taronga's development approval, at a price that does not even cover the value of Taronga, let alone the German projects that hold most of the Company's tin. First Tin's shareholders have funded the Company through feasibility and permitting, and they should not transfer the value of that work to the largest shareholder at 15 pence. We will not support this proposal unless it is substantially improved.
